This Agreement, set out below in the following Terms and Conditions, is made between We Are Listening and You, the Entrant.

1. General Provisions
By participating in any We Are Listening contest, assessment service, or other related services ("Services"), you agree to be bound by these Terms and Conditions and by any subsequent published revisions of these Terms and Conditions and by the decisions of We Are Listening, which are final in all matters relating to the Services.

2. Application & Content
Services available to you from We Are Listening may involve an application process for which you may be required to transmit your personal information and digital content ("Content") through the We Are Listening website at www.wearelistening.org ("Website") or via email to xxx[at]wearelistening.org. You may not use the name of another person with the intent to impersonate that person; use a name subject to the propriety rights of any third party without proper authorization; or use any name that We Are Listening, in its sole discretion, deems inappropriate or offensive. You warrant and represent that you own or are the valid licensee of the Content; you have the power and authority to enter into this Agreement; the terms of this Agreement do not conflict with the terms of any other agreements to which you are a party; the Content (including any third party material) will not violate any laws regulations or ordinances, or the rights of any third party, and will not infringe on the copyright of a third party. Failure to provide complete and accurate information through the Website, via email, or by specific instruction from a We Are Listening agent shall constitute a breach of these Terms and Conditions which may result in the immediate termination of Services to you. We Are Listening reserves the right to refuse any Entrants that may put the company and its affiliates at risk.

3. Rules
In some instances, rules pertaining to a specific Service ("Rules") have been designated and published on the Website. Rules are a part of, or an addition to, these Terms and Conditions and are not subject to scrutiny or dispute.

4. Fees
We Are Listening may charge a fee for some of its Services. Fees are published on the Website, including but not limited to the following Website pages: Rules, FAQ, and Enter Now. All fees are non-refundable.

5. Winners
Some Services are in the form of a contest and, therefore, may consist of contest winners ("Winners") and contest prizes ("Prizes"). Winners are selected by We Are Listening agents; members of the We Are Listening panel of contest judges ("Judges"), as published on the Website, including but not limited to the following Website pages: Panelists, Judges, and About Us; via a public vote; or as specifically advertised on the Website. Winners will be contacted directly by We Are Listening by phone or via email. It is the joint responsibility of We Are Listening and the Winners to contact one another within 14 days from the date the Winners' names have been published on the Website. Winners may be required to sign and return an affidavit of eligibility/recording rights/publicity release within 14 days of notification and failure to sign and return an affidavit within 14 days or provision of false/inaccurate information therein will result in immediate disqualification and an alternative Winner will be selected. Affidavits are subject to verification by We Are Listening.

6. Prizes
Winners may receive Prizes from We Are Listening. All prizes are non-transferable and the responsibility for the fulfillment and delivery of Prizes resides with the relevant partners and sponsors and We Are Listening shall take no part in any disputes arising therein. We Are Listening reserves the right in its sole discretion to substitute any and all Prizes with prizes of comparable value.

7. Third Parties
Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods, services, or Prizes, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. As such, you hereby agree that We Are Listening shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of any third parties with which We Are Listening has established a sponsorship or advertising relationship.

8. Content Placement & Copyright
We Are Listening may display and identify your Content on the Website for promotional purposes only and without any obligation to pay a license fee or other fee to you under any circumstances for the use of your Content. You acknowledge and agree that final decisions and control with regard to placement of your Content on the Website resides solely with We Are Listening. We Are Listening will not seek ownership of your Content and all copyrights therein will remain yours or their author's at all times.

9. Data Protection
We Are Listening will comply with its obligations under all applicable data protection laws and regulations. You personal information, which will remain strictly confidential, will be held in the We Are Listening Database and will be used by We Are Listening to contact you for legal or administrative purposes; send service-related email correspondence; and/or advertise service-related products and services on behalf of We Are Listening and its sponsors. We Are Listening reserves the right to use Winners' names, pictures, and voices for advertising and publicity purposes. You may choose to stop receiving all correspondence from We Are Listening and have your contact information permanently removed from the We Are Listening Database by using a link ("Opt-Out Link") provided at the bottom of We Are Listening newsletters or by sending an email with "Unsubscribe" in the subject heading to info[at]wearelistening.org. We Are Listening will respond immediately to any requests or queries regarding this Agreement and the Terms and Conditions therein.
